SUMMARY : The General Counsel advises on a wide variety of legal matters, including but not limited to contract drafting and negotiations, litigation, risk management and compliance.
ESSENTIAL DUTIES AND RESPONSIBILITIES: Include the following. Other functions may be assigned as business conditions change.
Provide legal advice and service to President, Board of Directors and other organizational leaders to address legal and compliance matters.
Uses professional judgment to provide a minimal level of risk for the Company in particular situations. Operate within the framework of corporate governance policies and external regulatory compliance.
Review, draft and negotiate independent practice association and management service agreements with health maintenance organizations for government funded dental programs (e.g., Medicare & Medicaid).
Review/draft dental insurance contracts/ plans between the Company or its subsidiaries and clients including but not limited to riders, addendums and related certificate(s) of insurance.
Prepare/review agreements for Healthplex (or its subsidiaries) relating to business arrangements with outside parties including but not limited to client contracts; vendor contracts; leases; non-disclosure and Business Associate agreements; corporate and LLC documents.
Handle regulatory filings related to applications by Healthplex (or its subsidiaries) for certification or licensure with various state regulatory agencies.
Handle regulatory filings pertaining to dental insurance programs offered by company’s subsidiaries and contracted clients.
Oversee matters relating to state and federal regulatory compliance, including various filings with NYSDOH, NYSDFS and FFM.
Handle periodic minutes for the Company and its subsidiaries.

EDUCATION and/or EXPERIENCE :
Requires a JD; current license to practice law; 6 years of specific industry and/or technical legal experience post licensure; or any combination of education and experience, which would provide an equivalent background.
SPECIALIZED KNOWLEDGE & SKILLS:
Legal experience in a broad range of corporate governance issues. Relevant corporate governance experience in a large law firm or corporate law department. Excellent advocacy, negotiation, writing, and organizational skills. Prior experience providing corporate secretarial support to company board of directors preferred. Prior experience with Medicare and Medicaid billing compliance, commercial payer guidelines, HIPPA/HITECH regulations, the Stark Law and Anti-Kickback Statute, False Claims Act, and government audits. Understanding of the Office of the Inspector General (OIG) regulations.
