|Organization seeks a senior corporate attorney with deep expertise in corporate governance matters. As Managing Chief Counsel, Governance & Corporate, you will: Parent Company Governance. Play a critical role in supporting Board of Directors of Corporation and its committees, including design, planning and execution of meetings, and preparation of agendas, materials and minutes. Research, monitor and advise on governance best practices and developments, and recommend enhancements to company governance policies and processes, including the company’s corporate governance guidelines, by-laws, committee charters, related party transactions policy and stock ownership guidelines

Dallas/Fort Worth Metro
Manage several governance workstreams, including compliance with governance reforms, compensation and related reports to directors, and corporate secretary vendor-management
Partner with litigation colleagues on D&O insurance and litigation matters
Oversee logistics for, and ensure successful execution of, annual shareholder meeting
Subsidiary Governance/Intercompany Transactions
Serve as inspirational and innovative leader and manager for subsidiary governance/intercompany transactions team
Partner with and advise Tax, Treasury and Accounting colleagues to mitigate risk and ensure strategic alignment and timely execution of intercompany transactions across the enterprise
Monitor and manage implementation of corporate governance best practices governing 500+ subsidiaries organized throughout North America, Europe, Asia and the West Indies
Ensure timely execution of state and local compliance filings, corporate approvals and availability of accurate corporate records to internal stakeholders and our external auditor
Monitor and advise on changes to corporate laws and regulations impacting our subsidiaries
Oversee various workstreams, including preparation and execution of corporate governance documents, director and officer appointments and resignations, intercompany matters, internal audits, SOX controls and the integration or sale of subsidiaries involved in M&A transactions
Advise business units regarding scope of regulatory audits of general corporate records
Manage external counsel, local company secretarial firms and vendor relationships
Lead and develop a team of eight attorneys and paraprofessionals located in multiple offices
This is a rare opportunity to work across the corporation, including partnering with Tax; Treasury; Global Consolidated Reporting; International Accounting; Brand, Marketing and Communications; Total Rewards; Events Planning; and business units. The successful candidate must have public company corporate governance expertise, including experience working with boards of directors and C-level executives.
This position will report to the Senior Vice President, Corporate Secretary & Associate General Counsel, and be part of the Corporate, Governance & Transactions legal team.

Manage external counsel efficiently
12+ years of governance, securities and other corporate law experience
Blend of large law firm and in-house experience preferred
Juris Doctor Degree with excellent academic credentials. Member of a state bar in good standing.
