Job Description Job Summary:
Senior Legal Counsel will assist the SVP & General Counsel in managing all legal matters pertaining to Terumo Medical Corporation (TMC) including product liability litigation defense coordination, contracting, employment law, legal entity, corporate governance, healthcare regulatory compliance, and the coordination of any legal matters handled by outside counsel. Provide strategic legal counseling, contract negotiations and drafting, and management of the Company’s Corporate Compliance Program. Provide legal support and advice to TMC management and various internal functions. Will assume primary responsibility for protecting the company against legal risks associated with US compliance matters.

Job Details:
1. Provide expert legal services and counsel to the business with high degree of independence.
2. Independently apply legal principles and judgment to develop legal strategies and provide expert advice on highly complex legal issues, including those that may have a significant financial impact, or which may have implications for TMC’s strategic goals, and those that involve the TMC’s strategic business partners.
3. Identify the need for, initiate, and direct implementation of legal policies.
4. Prepare, draft, review, negotiate, and modify a wide variety of commercial contracts and other documents with legal significance including but not limited to clinical trial agreements and physician proctoring and training programs.
5. Perform legal work, conduct research and provide legal advice to TMC management, negotiate corporate transactions, and prepare related documentation.
6. Responsible for ensuring TMC’s compliance respect to US compliance and healthcare related statutes including but not limited to anti-kickback, false claims, anti-bribery, Foreign Corrupt Practices Act, and transparency law requirements (Physicians Payments Sunshine Act, and similar laws in states such as Massachusetts and Vermont). Create and implement compliance training programs and serves as expert point of contact to Associates and Management.
7. Maintain the Corporate Compliance Program with primary responsibility for implementing compliance policies, including training, counseling, and auditing. Serve as the primary point of contact to Associates and Management on compliance related questions.
8. Will be responsible for handling legal research and advice on projects that impact TMC which may be global in nature
9. Manage the selection, work direction and expenditure of outside counsel.
10. Maintain compliance with all TMC Quality System requirements by maintaining a strong working knowledge of assigned training requirements. Fully adhere to all applicable government regulations, international guidelines and Terumo’s policies at all times.
11. Perform other job related duties as assigned.

Working Conditions:
This position exists in an office environment. Approximately 10% overnight travel is required.

• Background Experiences
o Juris Doctor from an accredited law school. Member of the bar in good standing; admission to New Jersey state bar preferred.
o Minimum of 8 years of legal experience in a relevant law firm and/or corporate setting.
o Medical device, pharmaceutical or other healthcare-related experience is highly desirable; international business exposure is highly preferred.
