Responsibilities:
Provides in-house legal advice to the Company
Reviews contracts for business transactions, due diligence for M&A, LOI
Drafts and review customer contracts and vendor agreements
Manages legal matters handled by outside counsel
Maintains current knowledge of legal issues and developments in the law to advise Company on risks
Supports Board of Directors and Shareholders; may serve as Board Secretary.
Leads Corporate Administrative, and Risk and Loss Prevention departments
Qualifications
Juris Doctorate degree preferred
10-15 years’ experience, ideally with a combination of law firm and mid-size employer in-house experience; private or family owned in-house counsel experience preferred
Knowledge of corporate governance and by-laws of private companies
Demonstrated ability to provide advice under complex circumstances
Ability to work cross-functionally, gain trust and build consensus among various stakeholders
Excellent skills in drafting, analyzing and communicating contractual terms to internal and external clients together with a high ability to influence and negotiate.
Displays mature judgment in foreseeing, assessing, and protecting the Company against various legal risks
Ability to appropriately balance legal and business risks while providing a balanced business perspective
Understands the importance of our company culture, professional and personable
Excellent writing and oral advocacy skills

Foxworth-Galbraith is looking for a Vice President of Corporate Administration and in-house General Counsel to join our team in Plano, TX. This position reports to the President/CEO.
The Vice President, Corporate Administration and General Counsel is an executive level role responsible for advice, guidance and support to business leaders on company legal matters regarding business transactions, liability, legal rights and obligations. Areas of responsibility will include: corporate business law, real-estate, commercial contracts, litigation, risk and loss prevention, and may include employment law, federal, state regulatory matters.
