We are experiencing exponential growth on a global scale and have an immediate opening for an in-house attorney to establish and grow our Legal Department. As Corporate Counsel, you will provide overall legal approval and recommendations across the entire organization (Technology, Intellectual Property (IP), Outsourcing Services, Employment, Immigration, Real Estate, Mergers & Acquisitions (M&A) and others.) You will have strong experience reviewing, drafting and negotiating contracts, and possess excellent knowledge and understanding of corporate law to implement processes and best practices. You will report to the CFO.

Your contributions include:

Preparing contractual documents as needed to support Cytel’s organizational goals. May include filing trademark applications to support Cytel’s Commercial and Marketing goals.
Reviewing and approving Master Agreements (IP, Indemnification, Warranty and Liability)
Interacting cross-functionally to gather and analyze information necessary to prepare patent or trademark applications.
Attending internal meetings with executive management to obtain subject matter background.
Consulting on IP with internal team as needed to provide instructions regarding potential responses.
Interacting and negotiating vendor contracts, including recruiting agencies.
Participating in M&A activities (i.e. conducting due diligence and preparing initial drafts of necessary documents.
Overseeing immigration process for employees, and handling employee with assistance of outside counsel.
Ensuring compliance with General Data Protection Regulation (GDPR).
Implementing organizational company processes such as DOA, Contract Review Policy, etc.
What you offer:

Juris Doctorate from an accredited institution.
5+ years of professional experience, with at least 3 years as an in-house attorney.
Proven ability to draft and negotiate complex outsourcing agreements and technology transaction agreements required.
Excellent analytical, oral and written communication skills, with the ability to exercise sound judgement when analyzing situations and processing information.
Outstanding relationship building skills with the ability to engage executives and staff, and win confidence as a trusted advisor.
Strong ability to multi-task, prioritize and manage large, complex deals independently, across a global and multi-cultural environment.
Strong knowledge of contract law, including IP experience.
Good understanding of employment and immigration law.
GDPR compliance knowledge and experience strongly desired.
Experience in M&A and real estate transactions strongly desired.
