RESPONSIBILITIES
Provide opinions and advice on general business, corporate matters, and litigation;
Negotiating, reviewing, and managing all legal aspects of engineering, procurement, and construction (EPC), subcontract, vendor agreements, and other legal agreement;
Review, interpret, and assist with negotiations of contract documents to determine contractual obligations, including governmental regulations, company contracting guidelines, and other contracting requirements with necessary stakeholders;
Monitor company performance for conformance to contractual baseline and maintains continual review to ensure that contractual obligations are met;
Work with team members on EPC as well as support RFP/RFQ responses;
Work with Procurement and Supply Chain on negotiating vendor agreements and developing standard templates;
Advise internal clients on the application and enforcement of contract terms;
Assist in managing dispute resolution and litigation matters relating to EPC projects;
Help determine and document project scope and duration, milestones, quality standards, and pricing;
Advise on compliance with statutory requirements, including lien waivers and permitting;
Prepare synopses and informational documents for both in-house and outside party use;
Analyze situations, identify and forecast pertinent problems and evaluate realistic options and recommend/implement appropriate course of action; and
All other duties as assigned by General Counsel or other senior management personnel
REQUIRED QUALIFICATIONS
Must be an active member of the Bar, in good standing
1-2 years of relevant experience
Excellent academic and work credentials are required
High degree of professionalism at all times
Excellent organizational skills
Ability to multi-task, set priorities, and meet deadlines
Ability to adapt to a fast-paced, changing environment
Exceptional communication and interpersonal skills
Strong in Microsoft Office Suite
Excellent written and verbal communication skills

SUMMARY
Corporate Counsel will provide legal expertise and coordinate the drafting, evaluation and execution of contracts to the company in support of the EPC construction of solar energy projects. This position reports to the General Counsel, or another senior management personnel that the President of the Company may designate. This position is located in Irvine, California and working hours are Monday through Friday, from 8:00am to 5:00pm, or 9:00am to 6:00pm.
