We are looking for a corporate counsel to lead our legal team. The corporate counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, leads corporate strategic and tactical legal initiatives, and obtains and oversees the work of outside counsel. The corporate counsel is directly involved in complex business transactions in negotiating critical contracts.
Duties and Responsibilities:
Legal counsel for sales contracts and related customer-facing matters
Drafting and negotiating a wide range of agreements, working closely with sales reps and executive leadership
Reviewing and revising various form agreements
Identifying and implementing methods for improving and streamlining existing processes
Creating and rolling out long-term legal strategies and new processes
Participating in the definition and development of corporate policies, procedures and programs and providing continuing counsel and guidance on legal matters and possible implications
Serving as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures
Structuring and managing the company’s internal legal function
Advising on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities
Advising on international legal entities and setup of new international entities
Required Qualifications:
Juris Doctor (JD) degree
Graduate of a top law school
Admitted to the bar
Licensed to practice in at least one U.S. state
Minimum six years’ post-law school experience in a law firm environment
Significant transactional legal experience
Organized and able to drive results without being micromanaged
Excellent verbal and written communication skills
Self-motivated and proactive
Ability to analyze and take action on data
High ethical standards
Preferred Qualifications:
Advising on international legal entities and setup of new international entities
Experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position
Experience at a top international law firm
Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence
Exposure to or familiarity with the following areas of law: securities, antitrust, computer law and privacy
Experience working on matters of corporate governance and with a board of directors
Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources
Familiarity and understanding of Sarbanes-Oxley and legislation and related FASB revenue recognition guidelines
