Key Responsibilities Include:

Prioritization of safety and health of company personnel in all applicable contracts
Monitoring compliance with Code of Conduct and other company policies
Support for end-to-end activities associated with contracting for the company’s design, build, own, operate (DBOO) project portfolio, working closely with internal project development teams and project partners
Assistance to business development with agreements and associated compliance with company and license registrations
Revisions and updates to company standard sales and procurement terms and conditions
Review of public and private requests for proposals (RFPs) and associated responses/bids for business risk, including specification of contractual guidelines and terms and conditions for procurement
Review and reporting of key contracts issues and summaries of terms for company operations, finance, administration and senior management
Legal research and analysis of significant and/or unique contract requirements, special provisions and terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit process
Management and implementation of contracts and template revisions, including due to changes in law, regulation and industry trends impacting business objectives
Analysis and negotiation of contracts issues and related drafting, as required for operations, finance and administration, including strategic agreements, HR, IT systems procurement and consulting, financing agreements and leasing
Monitoring of insurance compliance for company operations, and renewal process support
Support for resolution of contracts disputes and other litigation, including coordination with outside counsel in US and abroad
Legal support for mergers, acquisitions and other strategic transactions globally
Support for additional development of corporate compliance program and standard operating procedures, including implementation of technology systems
Essential Requirements:

JD from an ABA-accredited law school
Member of a State Bar in good standing (California preferred)
Relevant applied experience of 1-5 years, preferably in engineering, construction, or energy industries, and/or with government contracting and project financing
Track record of integrity, even when inconvenient to business objectives
Able to follow and enforce company policies and standard operating procedures
Must be able to think unconventionally, while staying within the legal and policy lines
Capacity to lead on issue resolution without direct supervision
Very strong communication and leadership skills
Very strong analytical and critical thinking skills
Exceptional attention to detail and superior research skills
Very organized, ability to work under tight deadlines, and deliver on time
Superior MS Office skills
Strongly Desired:

At least 3 years overall experience with negotiation and drafting of documents ranging from procurement to complex commercial transactions, including long-term feedstock and gas/power purchase and sale agreements
Knowledge of engineering, construction, waste recovery, renewable energy and/or recycling industries
Familiarity with international operations, agreements and different legal systems
Experience with government grants and California public entity contracting
Experience with contracts and policy management technology systems
Job Type: Full-time. Travel expected to be 10% or less

Job Description:

Reporting directly to the General Counsel, the Contracts Counsel will work on a day to day basis to support Anaergia’s global project deployments, finance and operations in the implementation and management of contracts.

With overarching compliance responsibilities, the Contracts Counsel will work closely with all businesses and entities within and across Anaergia companies, and is expected to interface with senior corporate management, customer/supplier executive management, and public agency executives.
